When setting up a business in the United Arab Emirates (UAE) or in the Gulf Cooperation Council (GCC) region, foreign entrepreneurs are usually faced with two options – setup in a free zone or set up an onshore business. We recommend setting up an onshore business, which allows your business to conduct permitted activities within the local UAE market, which is not legally allowed with a free zone setup. In both cases, foreign nationals can conduct their business with or without a local participation by involving a UAE national either as a sponsor or a local service agent (LSA).

UAE NATIONAL SPONSORS

For some commercial and industrial licenses, a UAE national acting as a sponsor is required to hold no less than 51% shareholding in the business.

A UAE national appointed as a local service agent (LSA) has no shareholding in the business, which means the foreign entrepreneur retains 100% ownership of the business. The LSA is merely required to assist labour and immigration matters. This is usually the case with professional licences.

HOW TO SETUP AN ONSHORE BUSINESS ?

To set up your onshore business, the following process will take place:

  • Identify the most appropriate activity and trade name of the business.
  • Provide the list and nationality of partners/ shareholders
  • Submit the license application for reservation of trade name and preliminary approval from the Department of Economic Development Dubai (DED)
  • Obtain a suitable commercial facility for conducting the permitted activities (EJARI)
  • Acquire external approvals (if applicable)
  • Sign the Memorandum Of Association/ Articles Of Association/ National Service Agent Agreement before the Notary Public
  • Issue the license
